AI output can be wrong. Review anything consequential before you act on it or send it somewhere. The software runs autonomously on your instructions, and you're responsible for what you tell it to do.

These Terms of Service (the "Terms") are a binding agreement between you ("you") and ContextuAI LLC, a North Carolina limited liability company based in Charlotte, North Carolina ("ContextuAI", "we", "us"). By accessing contextuai.com, downloading or using our software, or contacting us through this website, you agree to these Terms. If you do not agree, do not use the website or the software.
If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
You must be at least 16 years old, and old enough to form a binding contract where you live, to use the Website or the Software. The Software is intended for business and professional use.
The Website is provided for information about our products. We may change, suspend, or discontinue any part of it at any time without notice. Product descriptions, feature counts, screenshots, and roadmap statements on the Website are provided for general information and do not constitute a warranty, guarantee, or binding commitment that any feature will exist, continue to exist, or perform in a particular way.
When you submit the contact form, you agree that the information you provide is accurate and that you are not impersonating anyone. Do not submit sensitive personal information, confidential material belonging to others, or anything unlawful.

The full license text in the repository is authoritative. Where anything in this section conflicts with it, the license text controls. If you want a commercial license for a use the Commons Clause excludes, contact us — we're open to it.
Solo also incorporates third-party open-source components, each under its own license. Nothing in these Terms limits your rights, or your obligations, under those licenses.
Enterprise is licensed commercially under a separate written agreement between you and ContextuAI. That agreement — including its own license grant, support commitments, service levels, warranties, and any data processing addendum — governs your use of Enterprise and takes precedence over these Terms wherever they conflict. These Terms apply to Enterprise only to the extent no such agreement is in place, for example while you are evaluating it.
Because Enterprise is self-hosted, you are responsible for provisioning, securing, configuring, backing up, and operating your deployment, and for the infrastructure it runs on. We have no access to your deployment and cannot recover data from it.
Your Content is yours. We claim no ownership of it. Because Solo runs on your device and Enterprise runs on your infrastructure, we do not receive, host, or process Your Content — see our Privacy Policy for the detail.
The direct consequence is that you are solely responsible for Your Content and for backing it up. If your device fails, your database is corrupted, or you delete something, we cannot restore it — we never had a copy. Keep backups.
You are responsible for ensuring you have the rights and permissions necessary for the data you connect to the Software, and that your use complies with any obligations you owe to others — employer policies, client confidentiality, database terms, applicable privacy law, and the terms of any third-party service you connect.
You agree not to use the Website or the Software to:

The Software is designed to connect to services you choose — cloud AI model providers, databases, APIs, MCP servers, and distribution channels. Those services are not ours, and we are not responsible for them. Your use of each one is governed by that provider's own terms and privacy policy, including any charges they impose, and any content policies they apply to what you send them.
Where you supply your own API keys, you are responsible for the security of those keys and for all usage and costs incurred under them. We do not receive, store, or have access to those keys. We are not liable for charges you incur with a third-party provider, whether from expected use, misconfiguration, or an automation running longer than you intended.
The Software uses large language models and other AI systems. You should understand and accept the following before relying on it:
Except for the rights expressly granted under the Solo license or an Enterprise agreement, ContextuAI and its licensors retain all right, title, and interest in the Software, the Website, and their content.
The ContextuAI name and logo are trademarks of ContextuAI LLC. The Solo source license grants rights to the code, not to our trademarks. You may not use our name or logo in a way that suggests endorsement, sponsorship, or affiliation without our written permission, though nominative fair use — accurately referring to the product by name — is fine.

If you send us feedback, ideas, or feature suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or compensation to you. You acknowledge that Solo is provided free of charge, and that these limitations are a fundamental basis of the bargain between us. Nothing in this section limits liability under a separate signed Enterprise agreement, which governs that relationship on its own terms.
You agree to indemnify, defend, and hold harmless ContextuAI and its members, officers, employees, and agents from any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising from: (a) your use of the Website or the Software; (b) Your Content and the data you connect to the Software; (c) your violation of these Terms or of applicable law; (d) your violation of any third party's rights; or (e) actions taken by agents, crews, or automations you configured.
These Terms apply while you use the Website or the Software. You may stop at any time by ceasing use and, if you wish, uninstalling the Software.
We may suspend or terminate your access to the Website, and any rights granted under these Terms, if you materially breach them. Your rights in Solo's source code after termination are determined by the Apache 2.0 with Commons Clause license, which has its own termination provisions. Sections 7, 10, 11, 12, 14, 15, 16, 18, and 20 survive termination.
These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before filing any claim, you agree to contact us at contact@contextuai.com with a description of the dispute and to attempt in good faith to resolve it for at least 30 days. Most disagreements are cheaper and faster to fix this way.
Venue. If a dispute is not resolved informally, you and ContextuAI agree to the exclusive jurisdiction and venue of the state and federal courts located in Mecklenburg County, North Carolina, and each party waives any objection to that venue on grounds of inconvenient forum. This does not prevent either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
If you are a consumer resident in the EEA, the UK, or another jurisdiction whose law gives you the right to bring proceedings in your local courts or to the protection of mandatory local law, nothing in this section removes that right.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and post the revised Terms on this page. Material changes take effect 30 days after posting, except where a change is required by law or applies to a new feature, in which case it takes effect immediately. Continuing to use the Website or the Software after the effective date means you accept the revised Terms. If you do not accept them, stop using the Website and the Software.
